Terms of Service

Who runs MomentDesk, who can use it, and your responsibilities when using it.

1. Operator and agreement

MomentDesk is operated by PRYADKO DANILA, an empresa unipersonal (sole proprietor) registered in Uruguay, RUT 221025670013, at Charrua 2063, apt. 101, Montevideo, Uruguay. Contact hello@momentdesk.com.

You accept these terms before creating an account or first entering through an invitation. We record the version and acceptance time. Our Privacy Policy explains the use of personal information; data processing consent is recorded separately. Optional analytics requires its own choice.

2. Service and who can use it

MomentDesk provides tools for independent tutors: schedules, teaching materials, homework, shared boards, messages, audio and video calls, and lesson-payment records, with separate access for learners and their parents or guardians. Calls require a supported browser, an internet connection and the participants’ microphone or camera permission. You may also use your own meeting link.

  • Tutors must be at least 18 years old.
  • Learners must be at least 14 years old. MomentDesk is not available for learners under 14.
  • Learners aged 14–17 can sign in only after a parent or legal guardian confirms consent in MomentDesk. By confirming, the parent or guardian accepts these terms on the learner’s behalf and remains responsible for supervising the learner’s use.
  • Parents and guardians see only the information a tutor chooses to share with them.

When adding a learner, a tutor must state the learner’s age group truthfully and, for a learner aged 14–17, invite a parent or legal guardian. An invitation does not prove guardianship: the person who confirms consent declares that they are the learner’s parent or legal guardian.

3. Accounts and teaching relationships

Use accurate account information, protect your sign-in details and report unexpected access. Invitations and sign-in links are personal. Only access records you are entitled to see. A tutor decides what information to enter and which learner or parent to invite.

MomentDesk supplies software. We do not employ tutors, provide their lessons, guarantee educational outcomes or become a party to their teaching agreement. Tutors set their own lesson arrangements. Entries in a payment ledger do not transfer money, confirm bank settlement or replace tax records.

4. Content and acceptable use

You keep ownership of your material. You allow us to store, process and share it with the participants you authorize, only as needed to provide and secure the service. You must have the rights and legal basis needed to upload it.

Do not upload unlawful content, malware, identity documents, sensitive health information or personal data you have no right to use. Do not access another person’s workspace, misuse invitation links, disrupt the service or use it for unsolicited messaging. We may restrict access to address a security incident, unlawful content or misuse, including a learner added in breach of section 2.

5. Availability, changes and ending access

We may add, change or remove features and will give reasonable notice of material changes where practicable. You can stop using MomentDesk at any time and ask for your account to be closed through the contact above. We may retain limited information where needed to meet a legal obligation, resolve a dispute or secure the service, as explained in the Privacy Policy.

To the extent permitted by applicable law, we do not guarantee uninterrupted access or a particular result from using MomentDesk. Keep your own copy of material you cannot afford to lose. Nothing in these terms excludes liability or consumer rights that cannot lawfully be excluded.

6. Plans, charges and refunds

A new tutor account starts with a 30-day trial that needs no card: up to 30 active learners and 2 GiB of library and board files. After the trial, the Free plan continues with up to 5 selected active learners and 500 MiB; other learners become read-only, and history and exports remain available. Learner and parent accounts are free.

Paid checkout is being configured. The following payment terms apply when paid subscriptions are available.

The planned monthly subscription is 15 USD plus applicable taxes, for up to 30 active learners and 2 GiB of library and board files. Polar sells the subscription as Merchant of Record and handles checkout, billing and payment-related notices. Before a purchase, its checkout shows the price, currency, billing period, applicable taxes and renewal terms; purchasing requires your separate decision. Registering or starting the cardless trial does not authorize a charge.

The paid subscription renews monthly until canceled. You can cancel renewal through Settings → Plan and billing → Manage billing in the Polar customer portal. Access continues until the confirmed end of the paid period, then returns to Free if no other active access applies. See Cancellation & refunds. Lesson fees agreed between a tutor and a learner are outside MomentDesk.

7. Questions and governing law

Contact us first so we can investigate and try to resolve a concern. These terms are governed by the laws of Uruguay, without limiting mandatory protections or access to competent courts available under the law applicable to you. Material changes that require renewed acceptance will be presented before that acceptance is recorded.
